1Acceptance of Terms

By registering for, accessing, or using SocialAssist ("the Platform"), you ("User") acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions ("Terms") along with our Privacy Policy. These Terms constitute a binding agreement between you and IFTS IT Solution Pvt. Ltd. ("Company", "we", "us", "our"), a company incorporated under the laws of India and headquartered in Lucknow, Uttar Pradesh.

If you are accessing the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and all references to "User" shall mean both you individually and the organisation. If you do not accept these Terms, you must immediately discontinue use of the Platform.

2Description of Service

SocialAssist is a cloud-based Social Media Management Tool that enables users to connect multiple social media accounts, schedule and publish content, manage inboxes and comments, track analytics, and collaborate with team members — all from a centralised dashboard. The Platform integrates with third-party social media networks including but not limited to Meta (Facebook & Instagram), LinkedIn, Twitter/X, and YouTube via their respective official APIs.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation, provided that we endeavour to give reasonable advance notice where practicable.

3Account Registration & Security

To access the Platform, you must create an account by providing accurate, current, and complete information including your name, email address, and organisation details. You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@iftssolution.com upon becoming aware of any unauthorised access to your account.

Each account is intended for use by a single authorised user or organisation as specified in your subscription plan. Sharing account credentials with multiple unregistered individuals or organisations is prohibited. We reserve the right to suspend or terminate accounts found to be in violation of this provision. You must be at least 18 years of age to register for and use the Platform.

4Subscription Plans & Payment

Access to the Platform is offered on a subscription basis across various plans (e.g., Starter, Professional, Business), each with defined features, user seat limits, and connected account allowances. Subscription fees are billed in advance on a monthly or annual cycle as selected during registration and are non-refundable except as expressly stated in our Refund Policy.

All payments are processed through PCI-DSS compliant third-party payment gateways including Razorpay and/or Stripe. By providing your payment details, you authorise us to charge the applicable fees on your chosen billing cycle. We reserve the right to revise subscription pricing with at least 30 days' prior notice communicated via email. Continued use of the Platform after the effective date of a price change constitutes acceptance of the revised fees. All prices are inclusive of applicable GST where required under Indian tax law.

5Authorised Use & Prohibited Conduct

You agree to use SocialAssist solely for lawful business purposes in accordance with these Terms and all applicable laws and regulations. You are permitted to connect social media accounts that you own or have explicit administrative authorisation to manage, schedule and publish content on behalf of your organisation, use analytics and reporting features to measure performance, and invite team members to collaborate within your subscription's seat limit.

You expressly agree not to use the Platform to transmit unsolicited bulk messages, spam, or any content that violates the terms of service of any connected social media network. You must not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Platform, nor use automated scripts, bots, or scraping tools to extract data beyond what is made available through standard platform features. Uploading or distributing content that is defamatory, obscene, discriminatory, or infringes upon any intellectual property rights is strictly prohibited. You may not use the Platform to engage in any activity that disrupts the integrity or security of our systems or those of third-party providers.

6Social Media Integrations & OAuth

SocialAssist connects to third-party social media platforms using their official OAuth 2.0 protocols. By connecting a social media account, you grant us a limited, revocable licence to access, retrieve, and publish content on that account strictly on your behalf and solely as directed by your actions within the Platform. We store OAuth access tokens in encrypted form and never store your social media account passwords.

Your use of connected social media platforms through SocialAssist is also governed by the respective platform's terms of service. You are solely responsible for ensuring that your use of the Platform and the content you publish through it complies with the policies of each connected network. We are not responsible for any suspension, removal, or penalisation of your social media accounts by third-party platforms arising from content you publish or actions you take via SocialAssist. You may revoke access to any connected account at any time from within your SocialAssist dashboard or directly through the third-party platform's settings.

7Content Ownership & Licence

You retain full ownership of all content — including text, images, videos, graphics, and data — that you create, upload, or schedule through the Platform ("User Content"). By using SocialAssist, you grant IFTS IT Solution Pvt. Ltd. a non-exclusive, royalty-free, worldwide licence to store, process, transmit, and display your User Content solely to the extent necessary to provide the services you have requested. This licence terminates upon deletion of your account, subject to any retention obligations described in our Privacy Policy.

We do not claim ownership over your User Content and will not use it for marketing, resale, or any purpose beyond service delivery without your explicit consent. You represent and warrant that you hold all necessary rights, licences, and permissions to the content you publish through the Platform and that such content does not infringe any third-party intellectual property rights.

8Intellectual Property

All rights, title, and interest in and to the Platform, including its software, design, user interface, algorithms, trademarks, logos, and documentation, are and shall remain the exclusive property of IFTS IT Solution Pvt. Ltd. Nothing in these Terms shall be construed as transferring any ownership right in the Platform to you. Your use of SocialAssist grants you only a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes in accordance with these Terms.

The Company name, the SocialAssist brand, and all associated logos and product names are trademarks or registered marks of IFTS IT Solution Pvt. Ltd. You may not use them without our prior written consent. All other trademarks referenced on the Platform are the property of their respective owners.

9Data Privacy & Security

Our collection, storage, and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also consent to the data practices described in our Privacy Policy. We implement industry-standard technical and organisational measures to protect your data, including AES-256 encryption at rest, TLS 1.2+ in transit, and role-based access controls. However, no method of data transmission over the internet is entirely secure, and we cannot guarantee absolute security against all potential threats.

In the event of a personal data breach that is likely to result in risk to your rights and freedoms, we will notify you and the relevant authorities within the timeframe required under applicable Indian law, including the Digital Personal Data Protection Act, 2023.

10Disclaimers & Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, IFTS IT Solution Pvt. Ltd. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

In no event shall IFTS IT Solution Pvt. Ltd., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, data, or business opportunities, arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages. Our aggregate liability to you for any claims arising under these Terms shall not exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim.

11Indemnification

You agree to indemnify, defend, and hold harmless IFTS IT Solution Pvt. Ltd. and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your User Content, your violation of these Terms, or your infringement of any third-party rights including intellectual property rights or applicable law. We reserve the right, at our own expense, to assume exclusive defence and control of any matter subject to indemnification by you, in which event you agree to cooperate with our defence of such claims.

12Term, Termination & Suspension

These Terms remain in effect for the duration of your active subscription and any subsequent renewal period. You may terminate your account at any time by navigating to your account settings and initiating the account deletion process, or by contacting our support team. Upon termination, your right to access the Platform ceases immediately and your data will be handled in accordance with the retention schedules described in our Privacy Policy.

We reserve the right to suspend or terminate your account with immediate effect if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to the security or integrity of the Platform or other users. We will endeavour to notify you of such action unless prohibited by law or where notification would compromise an ongoing investigation. Termination does not relieve you of any payment obligations that accrued prior to the termination date.

13Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or validity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If such negotiations fail within 30 days of written notice of the dispute, the matter shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, as amended. The seat of arbitration shall be Lucknow, Uttar Pradesh, and proceedings shall be conducted in English.

Nothing in this clause shall prevent either party from seeking urgent injunctive or other equitable relief from a competent court to prevent irreparable harm pending resolution by arbitration.

14Amendments to These Terms

We reserve the right to revise these Terms at any time. When we make material changes, we will notify you via email and/or a prominent in-app notification at least 14 days before the revised Terms take effect. The revised Terms will display an updated "Effective Date" at the top of this document. Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform and may terminate your account prior to the effective date.
